1. The Agreement & Modifications
These Terms and Conditions (“Terms”) govern the use of our website (the “Site”) and the relationship between Scale Forge Hive Ltd (“the Agency”, “we”, “us”, or “our”) and the user/client (“the Client”, “you”, or “your”). By accessing our Site, engaging our services, signing a proposal, or paying an invoice, you agree to be legally bound by these Terms.
Modifications: We reserve the right to iterate, modify, or update these Terms at any time, effective immediately upon deployment to our Site. Continued use of our Site or services constitutes acceptance of the revised infrastructure.
2. Website Use & Copyright Notice
The contents of all material available on our Site (including text, graphics, logos, and digital architecture) are the exclusive intellectual property of Scale Forge Hive Ltd unless otherwise indicated.
- Permitted Use: You are authorized to visit, view, and retain a copy of pages of the Site for your own personal, non-commercial use.
- Restrictions: You shall not duplicate, download, publish, modify, or otherwise distribute the material on the Site for commercial purposes. Deep-linking to our Site for unauthorized purposes or extracting our digital architecture without express written consent is strictly prohibited.
3. Scope of Services & Deployment
Scale Forge Hive provides digital architecture, including but not limited to Brand & Experience design, Build & Technology (Web/App Development), Growth & Marketing, Video Production, and AI & Automation Systems.
- The Blueprint: All client services will be clearly defined in a customized Statement of Work (SOW) or Project Proposal.
- Scope Creep: Any requests outside the agreed SOW will be evaluated and subject to additional timelines and architectural fees. We do not engage in unmapped structural changes without prior written agreement.
4. Client Obligations & System Access
To engineer your growth efficiently, we require your active collaboration. The Client agrees to:
- Provide all necessary branding assets, credentials, and data required for the project in a timely manner.
- Review and approve deliverables within the agreed timelines. Failure to provide feedback within 5 business days may result in project suspension or delayed deployment.
- Grant the Agency necessary administrative access to third-party platforms (e.g., Shopify, WordPress, Meta Ads, CRM systems) required to execute the SOW.
5. Financial Architecture (Fees & Payments)
Timely deployment requires timely compensation.
- Payment Terms: Standard projects require a 50% upfront deposit to commence the “Forge” (creation) phase, with the remaining 50% due upon project completion and prior to final “Hive” deployment, unless otherwise stated in the SOW.
- Invoicing: All invoices are strictly payable within 14 days of receipt.
- Late Fees: Scale Forge Hive reserves the right to suspend all active development, marketing campaigns, or system access if accounts fall into arrears. Late payments may accrue interest at a rate of 5% per month.
6. Intellectual Property & Asset Ownership
We respect the assets we build for you.
- Final Assets: Upon full and final payment of all outstanding invoices, the Client is granted full ownership and intellectual property rights to the final deployed deliverables (e.g., final logo files, custom website code, video exports).
- Agency Rights: Scale Forge Hive retains ownership of all foundational, pre-existing code libraries, structural frameworks, AI prompts, and raw working files (e.g., Figma files, Premiere Pro project files) unless explicitly sold as part of the SOW.
- Portfolio Use: We reserve the right to feature the completed project, structural blueprints, and performance metrics in our agency portfolio, case studies, and marketing materials, unless a strict Non-Disclosure Agreement (NDA) is executed prior to the project start.
7. AI, Infrastructure & Third-Party Links
We utilize third-party AI models, automation software, and APIs to scale your operations, and our Site may contain links to external resources.
- Third-Party Platforms: The Agency is not liable for structural changes, API deprecations, or service outages caused by third-party platforms (e.g., OpenAI, Meta, Shopify, Google).
- External Links: Links to external sites are provided for convenience. Scale Forge Hive does not endorse, control, or guarantee the accuracy of information on external sites, and assumes no responsibility for consequences resulting from their use.
- Ongoing Costs: Subscription costs for third-party tools integrated into your system are the sole responsibility of the Client.
8. Warranties & Limitation of Liability
We make our Site and services available “as is.” While we engineer systems for serious growth, digital markets are inherently dynamic.
- Performance: Scale Forge Hive relies on data-driven strategies but cannot legally guarantee specific financial returns, exact search engine rankings, or precise lead volumes. Use of our information is voluntary.
- Liability: To the maximum extent permitted by UK law, the Agency expressly disclaims all liability for any indirect, consequential, or operational losses, loss of profit, or data corruption arising from the use of our Site or delivered systems. Our maximum aggregate liability shall not exceed the total fees paid by the Client for the specific project in question.
9. Termination of Architecture
Either party may terminate a service agreement with 14 days written notice.
- If the Client terminates a project mid-deployment, the Agency retains the non-refundable deposit to cover allocated resources and completed craftsmanship. Any completed work exceeding the deposit value will be invoiced immediately.
- We reserve the right to terminate Site access or agreements immediately in cases of breach of contract, hostile communication, or failure to pay.
10. Severability
The structural integrity of this agreement is modular. If any particular provision or clause of these Terms is deemed invalid, void, or unenforceable by a court of competent jurisdiction, that specific provision shall be omitted. The invalidity of that provision shall not affect the validity and enforceability of the remaining Terms, which will remain in full force and effect.
11. Governing Law
Scale Forge Hive Ltd is a registered entity in the United Kingdom. These Terms and Conditions shall be governed by and constructed in accordance with the laws of England and Wales. Any disputes arising under this agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
